We the undersigned agree that in the event ______________________ ("the hotel agent") sells a property and/or business listed on our websites, www.hotels-fsbo.com, www.hotelsforsale.biz or www.restaurants-fsbo.com to a client referred by the FSBO International Group, Inc. ("FSBO"), or to a buyer found in any of FSBO’s databases, the hotel agent will pay a referral fee of 20% of the total commission received by the hotel agent at closure of the purchase of the property and/or business.
The hotel agent agrees to supply FSBO with evidence of a mandate from the hotel owner showing that the agent has the right to represent the owner for the sale of the property and/or business. The hotel agent agrees not to circumvent FSBO or to attempt to avoid paying FSBO any monies due as a result of this agreement.
The hotel agent agrees to supply FSBO with copies of all correspondence with clients referred by FSBO, and to keep FSBO up to date with negotiations on a weekly basis. The hotel agent agrees to give FSBO the name and contact information of its attorney, as appropriate, and of the hotel owners attorney and to instruct these attorneys to inform FSBO of all negotiations, exchange of contracts, and closing arrangements undertaken with potential buyers referred by FSBO. FSBO will, at its option, have the right to have a representative or agent at closing and will be given adequate notice of closing to arrange for attendance.
FSBO agrees to waive its normal listing fees for properties listed by the hotel agent and to allow the agent to submit unlimited properties to FSBO for advertising on FSBO’s websites on the understanding that all properties submitted will be covered by this agreement and that FSBO has to right to refuse to list any properties submitted for any reason. FSBO reserves the right to edit all property descriptions submitted by the seller, to protect both parties’ trading position and interests.
FSBO has the right to cancel this agreement at any time at their option, and to accept or remove listings supplied by the Hotel agent at any time at their option. The hotel agent cannot cancel this agreement while negotiations are pending with potential buyers referred by FSBO.
All disputes in connection with the present Agreement shall finally be settled under the Rules of Conciliation and Arbitration of the International Chamber of Commerce by one or more arbitrators appointed in accordance with those rules.
This Agreement shall be governed by and construed in accordance with the laws of the Oregon applicable to contracts executed and to be wholly performed therein. Any dispute hereunder shall be brought in the state or federal courts in Lincoln County, Oregon, USA.
