NON-CIRCUMVENTION AND CONFIDENTIALITY AGREEMENT

In consideration and inducement of FSBO International Group Inc.  (Hereinafter referred to as “FSBO”) furnishing information on the Hotel _____________________(hereinafter referred to as “the Hotel”)

Information provided to FSBO about the hotel is sensitive and confidential; its disclosure to others would be damaging to the Sellers/Owners and to FSBO fiduciary relationships.
The undersigned will not disclose any information regarding the hotel to any other person who has not signed and dated an agreement similar to this, except to secure advice and counsel, in which case the undersigned agrees to obtain such adviser’s consent to maintain strict confidentiality. All information will be returned promptly to FSBO without retaining any copies, summaries, analyses or extracts, thereof (I) at any time on request and (II) in any event, upon termination of the undersigned review of it.

The undersigned will not contact the subject property, its employees, suppliers or customers, except with written approval of FSBO. All correspondence, inquiries, offers to purchase and negotiations relating to the subject property will be conducted exclusively through FSBO.

FSBO is relying on others for the accuracy and completeness of said information, has no knowledge of the accuracy of said information and makes no warranty, express or implied, regarding such information.

Prior to consummating any transaction, it is the responsibility of the undersigned independently to verify all relevant information. FSBO is not responsible for the accuracy of any information, and the undersigned agrees to indemnify and hold FSBO harmless from any claims resulting from its use. The undersigned will look only to the undersigned investigation for all information regarding the hotel offered by FSBO. FSBO reserves the right to edit all property descriptions submitted by the seller, to protect both parties’ trading position and interests.

The undersigned shall not enter any information into a computer, word processor, or other type of duplicating device without eradicating said information at the time of information is returned to FSBO. Upon request the undersigned shall return all written materials and information received by and from FSBO.

The undersigned shall not discuss or confer with any person concerning the subject property information except with its own employees, agents, attorneys and advisors who shall be shown a copy of this agreement and agree to be bound by the terms of it.

The seller is responsible for payment of FSBO’s Sales. The commission shall be earned upon consummation of the transaction (closing) and is due and payable in full at closing.
